1. Acceptance of Terms
By accessing and using the services provided by TOPO EH-AI Consulting Pte. Ltd. ("TOPO", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Services
TOPO provides AI consulting, software development, cloud migration, and related technology services. The specific scope of services will be defined in individual service agreements or statements of work.
3. Intellectual Property
All intellectual property rights in our services, including but not limited to software, documentation, and methodologies, remain the property of TOPO unless otherwise agreed in writing. Client-specific deliverables will be subject to the terms outlined in individual service agreements.
4. Confidentiality
We are committed to maintaining the confidentiality of all client information. Both parties agree to protect confidential information disclosed during the course of our engagement and not to disclose such information to third parties without prior written consent.
5. Limitation of Liability
To the maximum extent permitted by law, TOPO shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.
6. Payment Terms
Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may be subject to interest charges as specified in the applicable agreement.
7. Termination
Either party may terminate services in accordance with the terms specified in the applicable service agreement. Upon termination, all outstanding fees become immediately due and payable.
8. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
9. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Your continued use of our services after such changes constitutes acceptance of the modified terms.
